Please read these terms and conditions of service carefully.

Introduction

  1. This document establishes your legal agreement with Net Law Group, Inc. and its subsidiaries, agents, officers, directors, employees, and independent contractors (collectively, “NetLaw”).
  2. Your use of the NetLaw Documents, the Sites, or any other NetLaw service (collectively “Service” or “Services”), either independently or in collaboration with a licensed attorney using our software, is subject to these Terms and Conditions (the “Usage Terms”).

Legal Services Not Provided

  1. NetLaw provides information and software only, facilitating the preparation of legal documents either independently or in collaboration with a licensed attorney using our software.
  2. Please note that while our software can be used in conjunction with professional legal services, NetLaw itself does not provide legal advice, legal services, or participate in any legal representation.
  3. You acknowledge that decisions made regarding the development of your legal documents are your own or that of your chosen attorney.
  4. Client Confidentiality:
    Clients will have the opportunity to provide, via a separate agreement between the client and a legal service provider (“Provider”), explicit authority for Provider, or NetLaw on Provider’s behalf, to share details regarding the client’s estate plan with the advisor.

Role of NetLaw

  1. While NetLaw’s goal is to make the preparation of basic legal documents more accessible, it's important to understand that NetLaw and its services are not substitutes for personalized attorney advice.
  2. NetLaw strongly recommends discussing your situation with an attorney if you're unsure about any legal matters.
  3. Advisor Communication and Client Contact Authorization:
    To enhance collaboration and ensure effective service delivery, NetLaw reserves the right to contact clients directly or on behalf of Provider.

Special Terms

  1. Some services may be subject to Special Terms.
  2. If there's a conflict between these Usage Terms and the Special Terms, the latter will take precedence.
  3. Together, the Usage Terms, any Special Terms, and all other documents incorporated by reference form the complete set of Terms for using our services.

Changes to Terms

  1. NetLaw reserves the right to change these Terms at any time at its sole discretion.
  2. We will update this document to reflect any changes.
  3. Your use of the services is subject to the most current version of the Terms at the time of such use.

Acceptance of Terms

  1. You agree to these Usage Terms by registering, using, or browsing our Services.
  2. Promotional Communications:
    By providing their contact information, advisors acknowledge and consent to receive promotional messages from NetLaw. It is important to note that such promotional communications will be directed solely to advisors and not to clients.

Use Limitations

  1. You must be at least 18 years old and legally capable of entering a binding contract with NetLaw to use our Services.
  2. If you are under 18 or otherwise prohibited by law from using our Services, you may not use them.

Term Updates

  1. If we update these Usage Terms, we may require your consent for further use of our Services.
  2. If we do not require your consent, your continued use of our Services indicates acceptance of the updated terms.

Privacy Policy

Ownership

  1. The Services and associated trademarks are protected by Intellectual Property Rights and are exclusively owned by NetLaw and/or its licensors.

Use of Services and Documents

  1. You're granted a non-exclusive, revocable right to access and use our Services, with some restrictions and conditions.
  2. Availability of certain services may depend on specific criteria or payments.

Service Availability

  1. We strive for constant service availability, but occasional interruptions may occur for maintenance, upgrades, repairs or due to circumstances beyond our control.
  2. Advisor Notifications:
    NetLaw recognizes the importance of keeping advisors informed about key aspects of their clients’ legal matters. As such, NetLaw may send reminders and notifications to advisors, including but not limited to client plan anniversary notices. These communications are designed to assist advisors in managing client relationships and ensuring timely reviews of legal documents and plans.

Service Modification

NetLaw reserves the right to modify or discontinue any service or document.

Payment Terms

  1. If applicable, you'll need to purchase a plan to access some services.
  2. Plan fees, which may be non-refundable, are paid either directly to NetLaw or to a third-party law firm through the NetLaw

Your Documents

Storage

  1. NetLaw may provide online storage for your documents. However, NetLaw is not responsible for the deletion or accuracy of any documents, storage, transmission, security, or privacy of communications related to the Services.
  2. Nevertheless, users from North Carolina, USA, have specific rights not limited by this statement.
  3. NetLaw retains the right to create limits on document usage such as file size, storage space, and processing capacity.
  4. If you exceed your storage space limit, you may be required to delete some of your documents.

Responsibility

You bear full responsibility for the documents you share, including their accuracy, completeness, and any risks associated with their use.

Access and Usage Settings

  1. Some Services may let you define the access restriction level for your documents.
  2. It is your responsibility to set appropriate access levels.
  3. If no level is chosen, the system may default to the most permissive setting.
  4. NetLaw might allow you to share your documents with others.

Privacy and Automation

  1. The Services are automated, meaning that NetLaw personnel will not access your documents unless it is necessary to provide the Services, respond to support requests, address security issues, comply with legal requirements, or enforce the Terms.
  2. While NetLaw provides security measures for your documents, it is not liable for any damages resulting from the disclosure of your documents.
  3. Users from North Carolina, USA, have specific rights not limited by this statement.

Shared Documents

License

  1. NetLaw grants you a global, free, non-exclusive license to distribute, display, download, perform, and reproduce Shared Documents for personal and internal use only.
  2. In certain groups allowing content sharing, you can also adapt and modify Shared Documents.

Responsibility

  1. You are solely responsible for any limitations on your Shared Documents.
  2. NetLaw can't monitor or control what others do with your Shared Documents.
  3. NetLaw isn't liable if others misuse your Shared Documents, except for certain rights of users in North Carolina, USA.

Personal Information

  1. You're responsible for all personal information you or other users on your account use and submit through the Services.
  2. You must comply with all relevant data protection and privacy laws.

Termination of Access

  1. Access to Shared Documents can be terminated at any time by the party granting or receiving access.
  2. Even if NetLaw deletes your account in shared areas, it may retain information about your past actions.

Removal and Archive

  1. After removing or unsharing your documents from the Services, NetLaw will stop using, distributing, or displaying your documents within a reasonable time.
  2. However, NetLaw may keep backup copies or use your documents for investigations.

Use of Software

Governance

  1. The use of Software made available through the Services or third-party platforms is governed by the terms of applicable Special Terms or the license agreement accompanying the Software.
  2. If a conflict occurs between these Terms and the license agreement, the latter takes precedence.

Mobile Applications

  1. NetLaw may provide mobile and tablet applications through third parties that interact with the Services.
  2. You are responsible for obtaining, maintaining any necessary equipment, and bearing any related costs (like carrier fees, overage charges, etc.) for using these applications.

License Grant

  1. If no license agreement accompanies the Software, its download and use are governed by these Terms.
  2. NetLaw grants you a personal, global, revocable, limited, non-transferable, non-sublicensable, non-assignable, non-exclusive license to use the Software within the restrictions of the Terms.
  3. This license prohibits you from distributing, leasing, selling, or sublicensing the Software, or trying to discover its source code (with some exceptions in certain jurisdictions).

Software Updates

  1. The Software may automatically download and install updates from NetLaw, intended to improve, enhance, and develop the Services.
  2. These updates may include bug fixes, new functions, new Software modules, or entirely new versions.
  3. By using the Services, you agree to receive such updates.

Your Warranty, Indemnification, Obligation, and Waiver

Warranty

You warrant that you own or have obtained necessary permissions to use Your Documents within the Services, you can grant the necessary licenses, you have received consent from persons depicted in Your Documents, and Your Documents don’t infringe any third party's rights.

Indemnification

You agree to indemnify and hold NetLaw harmless from any claims arising out of your use of the Services, your connection to the Services, the actions of any User on your Account, your use of and access to personal information of other Users, your violation of the Terms, or your violation of any rights of another, including any Intellectual Property Rights.

Waiver

By accessing the Services or the Linked Sites, you acknowledge and accept the risk of exposure to offensive or otherwise objectionable Documents from others.

Disclaimer of Warranties (Not applicable in North Carolina)

The Services are provided “as is” with no warranties, either express or implied, including the implied warranties of title, non-infringement, merchantability, or fitness for a particular purpose.

Limitation of Liability (Not applicable in North Carolina)

NetLaw's liability will not exceed the greater of US$100 or the amount you have paid for the Services in the preceding three months, even if NetLaw has been advised of the possibility of such damages.

Investigations

  1. NetLaw has the right to monitor the Services and Documents and may remove any of Your Documents that violate the Terms or any Law.
  2. NetLaw may terminate your rights, change or remove your Documents or Account Information without prior notice to you if you violate any provision of the Terms.
  3. If criminal activity is suspected, NetLaw reserves the right to cooperate with law enforcement.
  4. NetLaw may retain and/or disclose any information or Documents, including Your Documents or Account Information, in its possession to comply with Law, enforce the Terms, respond to claims or requests, or protect rights, property, or safety.

Feedback

  1. Providing NetLaw with ideas, suggestions, or proposals ("Feedback") is not mandatory.
  2. However, if you submit Feedback to NetLaw, they may use it for any purpose without compensating you.

Copyright Infringement Notification

  1. NetLaw respects Intellectual Property Rights and expects users to do the same.
  2. In compliance with the Digital Millennium Copyright Act, NetLaw will address copyright infringement notices by:
    • Removing or disabling access to infringing content.
    • Notifying the user.

External Links

The Services may include links to websites or services not operated by NetLaw. You agree that NetLaw is not responsible for the content or availability of such websites or services.

Termination

  1. You may stop using the Services and terminate your account at any time. To do so, contact NetLaw at support@netlaw.com.
  2. Any fees paid prior to termination are non-refundable.
  3. NetLaw may terminate your account and agreement for various reasons, including:
    • Breach of Usage Terms.
    • Legal requirements.
    • Discontinuation of Services.
  4. Termination may involve:
    • Removal of access to Services.
    • Deletion of your documents and account information.
    • Barring further use of Services.
  5. Upon termination, any indemnification obligations, disclaimers, or limitations of damages/liabilities will remain in effect.
  6. Also, NetLaw will attempt to provide at least 30 days' notice, with instructions on retrieving your documents, in the case of termination for reasons other than breach of Usage Terms.

Dispute Resolution

  1. You agree that any claim or dispute against NetLaw must be resolved in a court located in Jefferson County, Kentucky, USA.
  2. You consent to the personal jurisdiction of these courts and waive any defense of lack of jurisdiction or forum non conveniens.
  3. Claims can only be brought in an individual capacity and not as a plaintiff or class member in any class action.

Miscellaneous

  1. The Terms constitute the entire agreement between you and NetLaw regarding the Services and supersede prior agreements.
  2. You may not assign or transfer your account or the Terms without NetLaw's written consent.
  3. If any provision of the Terms is deemed unenforceable, the remaining provisions will remain in full effect.
  4. Failure to enforce or exercise any provision or right does not constitute a waiver.
  5. You are responsible for compliance with any laws that might prohibit your use of the Services.

Definitions

Unless otherwise defined, capitalized terms used throughout these Usage Terms have the meanings stated below:
  1. "Account" refers to any Service, whether paid or free, for which you register on any site owned, controlled, and used by NetLaw to provide the Service.
  2. "Account Information" includes the information provided to NetLaw during your Service registration, such as your NetLaw ID and email address.
  3. "Documents" encompass any documents and/or media provided by you or NetLaw,including but not limited to information, data, images, photographs, graphics, audio, videos, webcasts, products, folders, and User Documents.
  4. "Intellectual Property Rights" involve copyright, trademark, patent, trade secret, and all other intellectual and proprietary rights.
  5. "Law" refers to any applicable law, regulation, or generally accepted practices or guidelines in any relevant jurisdiction, including laws regarding data or software export to and from the United States or other applicable countries.
  6. "Linked Sites" are websites, other than NetLaw's Sites, accessed from the Services but not controlled by NetLaw.
  7. "Marks" denote the trademarks, logos, and service marks displayed as part of the Services.
  8. "NetLaw Documents" refer to any Documents or Software provided by NetLaw under the Terms.
  9. "Share" means to email, post, transmit, upload, or otherwise make available through the use of the Services.
  10. "Shared Documents" represent Documents that you or other Users Share through the Services.
  11. "Sites" include any website owned, controlled, and used by NetLaw to provide the Services, such as www.netlaw.com, and their subdomains.
  12. "Software" refers to NetLaw software code, associated documentation, mobile and tablet applications related to the Services, content files, drivers, patches, or fonts.
  13. "User" means a user of the Services or a visitor to the Sites.
  14. "User Documents" consist of Your Documents and Shared Documents uploaded by other Users.
  15. "Your Documents" include any Documents you create through the Services and any Documents
